On Tuesday afternoon, I was engaged in my usual weekly check-in with my par=
tner Tara Palmeri to exchange ideas, dish a little bit, discuss new reporti=
ng in her notebook, and absorb the various exciting updates regarding her p=
odcast, Somebody=E2=80=99s Gotta Win ( https://puck.news/podcasts/somebodys=
-gotta-win/?utm_campaign=3DThe+Backstory+-+LEADS+%286%2F14%2F24%29&utm_cont=
ent=3DThe+Backstory+-+LEADS+%286%2F15%2F24%29&utm_medium=3Demail_action&utm=
_source=3Dcustomer.io&utm_term=3Df6c60615e3d301d48d28 )=E2=80=94a partnersh=
ip with Bill Simmons=E2=80=99 The Ringer. In particular, we were chewing ov=
er some of the latest fodder from Mar-a-Lago as Trump=E2=80=99s tightly-kni=
t new brain trust was vetting potential vice presidential contenders.
Tara noted that Doug Burgum had been ascending in this highly unscientific =
popularity contest.
After all, he meets a number of Trump=E2=80=99s customary requirements: he=
=E2=80=99s rich; Melania likes him; he has a telegenic wife; and possesses =
a preternatural, almost Pence-ian talent to not upstage the boss. As ever, =
Trump has the political instincts of a television producer. And while Burgu=
m wasn=E2=80=99t quite Cary Grant, the former president=E2=80=99s Platonic =
ideal for a running mate, Burgum at least seemed like the strong, silent ty=
pe. Also, he hadn=E2=80=99t been around the scene long enough to get under =
anyone=E2=80=99s skin.
As we were chatting on the Zoom, my phone started to ring. I wasn=E2=80=99t=
surprised to see an incoming call from Bill Cohan, one of Puck=E2=80=99s f=
ounding partners and the greatest chronicler of Wall Street in our time. I=
=E2=80=99ve worked with Bill for years, and I could sense his urgency. That=
afternoon, the long-suffering Paramount Global deal had been set for a rub=
ber stamp from Shari Redstone and the board=E2=80=99s special committee=E2=
=80=94a
potential denouement to a heavily labored, highly publicized, and dysfuncti=
onal six-month public negotiation. Was there a last-minute wrinkle, I wonde=
red?
After my Zoom with Tara concluded, I rang Bill back and asked for the downl=
oad. Yes, he said with certainty, a funny thing had happened on the way to =
the Forum. Bill had just been working the phones and learned that the compl=
ex transaction between Redstone=E2=80=99s National Amusements Inc. and the =
combined forces of David Ellison=E2=80=99s Skydance and Gerry Cardinale=E2=
=80=99s RedBird was collapsing on the one-inch line. And the reasons for th=
e demise, Bill said, were utterly Shakespearean.
Some people around the deal believed that Charles Phillips, a former presid=
ent of Oracle and current Paramount director, had given Shari cold feet. Th=
ey wondered if Phillips was jonesing to take over Paramount, himself. (The =
company is currently run by an entirely untenable three-man interim =E2=80=
=9Coffice of
the C.E.O.=E2=80=9D structure.) Others were curious if he was exacting retr=
ibution on the Ellison clan over his departure from Oracle years earlier. E=
ither way, Bill reminded me, most deals die with age. And this latest twist=
was going to kill this thing off, once and for all. That afternoon, the Jo=
urnal published a terse report acknowledging that Redstone was walking away=

r years, was actually putting the finishing touches on an excellent story a=
bout David Solomon=E2=80=99s turnaround at Goldman Sachs. But we
eventually decided that that story would have to wait a couple days. (You=

illion in bank debt, plus the $175 million in preferred stock she owes BDT =
& MSD Partners, her financial advisor on the sale. The remaining $1.9 billi=
on would be divided between her and her late father Sumner Redstone=E2=80=
=99s five grandchildren, and subject to significant tax consequences. And t=
hen there would be a smorgasbord of shareholder lawsuits. =E2=80=9CIt was u=
gly,=E2=80=9D one longtime family observer told Bill. =E2=80=9CLike, scary =
ugly.=E2=80=9D
Bill=E2=80=99s piece also captures the underappreciated psychological eleme=

rs. <br/><br/>Tara noted that <b>Doug Burgum</b> had been ascending in this=
highly unscientific popularity contest.
After all, he meets a number of Trump=E2=80=99s customary requirements: he=
=E2=80=99s rich; <b>Melania </b>likes him; he has a telegenic wife; and pos=
sesses a preternatural, almost <b>Pence</b>-ian talent to not upstage the b=
oss. As ever, Trump has the political instincts of a television producer. A=
nd while Burgum wasn=E2=80=99t quite <b>Cary Grant</b>, the former presiden=
t=E2=80=99s Platonic ideal for a running mate, Burgum at least <i>seemed</i=
> like the strong, silent type. Also, he hadn=E2=80=99t been around the sce=
ne long enough to get under anyone=E2=80=99s skin.<br/><br/>As we were chat=
ting on the Zoom, my phone started to ring. I wasn=E2=80=99t surprised to s=
ee an incoming call from <b>Bill Cohan</b>, one of Puck=E2=80=99s founding =
partners and the greatest chronicler of Wall Street in our time. I=E2=80=99=
ve worked with Bill for years, and I could sense his urgency. That afternoo=
n, the long-suffering Paramount Global deal had been set for a rubber stamp=
from <b>Shari Redstone </b>and the board=E2=80=99s special committee=E2=80=

potential denouement to a heavily labored, highly publicized, and dysfuncti=
